Deeplay: The platform operated by Deeplay Pty Ltd, registered in NSW, Australia.

Platform: The Deeplay website, mobile app, and all related services and features.

User: Any person who creates an account on Deeplay, including Explorers and Companions.

Explorer: A registered user who books social companionship activities.

Companion: A verified and approved user who provides social companionship activities.

Activity: A social companionship outing arranged between an Explorer and Companion (e.g., coffee, meal, city walk, karaoke, events).

Booking: An Explorer's request to engage a Companion for an Activity, confirmed through our platform's chat and payment system.

Service Fee: 5% fee charged to Explorers on the total Activity cost.

Commission: 15% fee charged to Companions on the total Activity cost.

You must be at least 18 years old to use Deeplay. By using our platform, you confirm that:

• You have the legal capacity to enter into binding agreements.
• All information provided during registration is accurate, complete, and truthful.
• You have not been previously banned or suspended from Deeplay or similar platforms.
• If registering as a Companion, you possess a valid government-issued photo ID (Australian driver's licence, Photo ID card, or passport).

Deeplay is a marketplace platform for social companionship activities only. The platform is strictly for platonic, non-romantic companionship and social outings.

Deeplay is NOT a dating, escort, or adult-oriented platform.

All activities must be social and non-intimate in nature. Any use of the platform for dating, intimate services, or adult content is strictly prohibited and will result in immediate account suspension.

Companions are independent contractors, not employees of Deeplay. Deeplay acts as a marketplace facilitator and does not control or direct how Companions provide their services, beyond ensuring compliance with these Terms.

After an Activity concludes:

1. The Companion marks the Activity as complete within the Deeplay platform.
2. The Explorer has 24 hours to confirm completion or dispute the booking.
3. If the Explorer takes no action within 24 hours, the Activity auto-confirms.
4. Upon confirmation, the payout is released to the Companion via Stripe (3–5 business days).
5. Both parties may leave ratings and reviews within 72 hours of completion.

Both Explorers and Companions may report issues or disputes through the “Report an Issue” feature on their Activity page.

All Companions agree to:

• Maintain an accurate profile with current photos and genuine information.
• Provide social companionship on a platonic, non-intimate basis only.
• Honour confirmed bookings and arrive on time.
• Treat all Explorers with respect and dignity.
• Comply with all Australian laws and local regulations.
• Provide a valid Australian Business Number (ABN) within 3 months of account approval.
• Not solicit direct payments or contact information to bypass Deeplay's platform.
• Promptly report any safety concerns, harassment, or suspicious behaviour to Deeplay's Trust & Safety team.

All Explorers agree to:

• Treat Companions with respect and dignity.
• Engage in social, platonic companionship only. Sexual or romantic advances are strictly prohibited.
• Be punctual and ready at the agreed meeting time and location.
• Not make any sexual, adult, or intimate requests of Companions.
• Pay all fees solely through the Deeplay platform.
• Promptly report any safety concerns, harassment, or suspicious behaviour to Deeplay's Trust & Safety team.

You agree not to:

• Use Deeplay for dating, romantic relationships, escort services, or any sexual or adult-oriented purpose.
• Harass, threaten, discriminate against, or abuse other users.
• Share contact information (phone, social media, etc.) with other users to circumvent Deeplay's platform and payment system.
• Create fake profiles, use false information, or impersonate others.
• Engage in illegal activities or violate any applicable laws.
• Post defamatory, obscene, or otherwise harmful content on the platform.
• Attempt to access unauthorized areas of the platform or manipulate its systems.

Deeplay retains all intellectual property rights to the platform, including its design, code, features, and content. You grant Deeplay a non-exclusive, royalty-free licence to use any content you upload to your profile (photos, bio, etc.) for the purposes of operating and promoting the platform.

BY USING DEEPLAY, YOU ACKNOWLEDGE AND AGREE THAT YOU ARE VOLUNTARILY PARTICIPATING IN ACTIVITIES WITH OTHER USERS AND THAT YOU ASSUME ALL RISKS ASSOCIATED WITH SUCH INTERACTIONS, INCLUDING BUT NOT LIMITED TO:

• Physical harm, injury, illness, or death arising from or connected with any Activity arranged through the Platform.
• Emotional distress, psychological harm, or trauma arising from interactions with other Users.
• Theft, property damage, or financial loss occurring during or in connection with any Activity.
• Harassment, assault, misconduct, or criminal behaviour by any other User, whether during or after an Activity.
• Exposure to dangerous locations, unsafe conditions, or unforeseen hazards during any Activity.

You understand that Deeplay is a technology platform that facilitates connections between Users. Deeplay does not supervise, direct, control, or monitor Activities and has no involvement in the actual meetings or interactions between Users.

You acknowledge that you are solely responsible for your own safety before, during, and after any Activity. Deeplay strongly recommends that you:

• Always meet in public places.
• Inform a trusted friend or family member of your plans, including the time, location, and name of the person you are meeting.
• Keep your mobile phone charged and accessible at all times.
• Trust your instincts and leave immediately if you feel unsafe.
• Contact emergency services (000 in Australia) if you are in immediate danger.

YOU EXPRESSLY WAIVE AND RELEASE DEEPLAY, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES FROM ANY AND ALL LIABILITY, CLAIMS, DEMANDS, OR CAUSES OF ACTION ARISING FROM OR RELATED TO ANY PERSONAL INJURY, BODILY HARM, EMOTIONAL DISTRESS, DEATH, PROPERTY DAMAGE, OR ANY OTHER LOSS SUFFERED DURING OR AS A RESULT OF ANY ACTIVITY ARRANGED THROUGH THE PLATFORM, TO THE FULLEST EXTENT PERMITTED BY LAW.

All interactions, meetings, and Activities between Users are conducted solely between those Users. Deeplay is not a party to any arrangement, agreement, or interaction between Users and bears no responsibility for the actions, omissions, or behaviour of any User.

YOU ACKNOWLEDGE THAT YOU ARE MEETING A PERSON YOU MAY NOT KNOW, AND YOU ACCEPT ALL RISKS INHERENT IN MEETING SOMEONE IN PERSON. DEEPLAY CANNOT AND DOES NOT GUARANTEE YOUR SAFETY.

Deeplay acts solely as a marketplace facilitator. Deeplay does not control, direct, supervise, or monitor any Activity, interaction, or communication between Users.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• Deeplay makes no guarantee regarding the quality, safety, legality, or suitability of any Activity, User, or Companion.
• Deeplay is not liable for any personal injury, bodily harm, sexual assault, harassment, emotional distress, death, theft, property damage, or any other loss or damage arising from or connected with any Activity or interaction between Users.
• Deeplay is not liable for any acts, omissions, misconduct, negligence, or criminal behaviour of any User, whether on or off the Platform.
• Deeplay's total aggregate liability to you for any claim arising from or related to these Terms or your use of the Platform is limited to the lesser of: (a) the total fees you paid to Deeplay in the 12 months preceding the claim, or (b) AUD $100.
• Deeplay is not liable for indirect, incidental, consequential, special, or punitive damages of any kind, including but not limited to loss of profits, revenue, data, use, goodwill, or other intangible losses.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under the Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010 (Cth)). You retain all rights under the Australian Consumer Law that cannot be waived by agreement.

You agree to indemnify, defend, and hold harmless Deeplay Pty Ltd and its directors, officers, employees, agents, contractors, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including but not limited to legal fees and court costs) arising from or related to:

• Your use of the Platform or participation in any Activity.
• Your violation of these Terms, Privacy Policy, or Community Standards.
• Your conduct, behaviour, or actions during or related to any Activity.
• Any claim by a third party arising from your actions or omissions.
• Any dispute between you and another User.

This indemnification obligation survives the termination of your account and these Terms.

Your use of personal data is governed by our Privacy Policy. By using Deeplay, you consent to our collection, use, and storage of your information as detailed in the Privacy Policy.

Deeplay reserves the right to modify these Terms & Conditions at any time. Material changes will be notified to you via email or a prominent notice on the platform. Your continued use of Deeplay after modifications constitutes acceptance of the revised Terms.

Suspension or Termination by Deeplay: Deeplay may suspend or terminate your account without notice if you violate these Terms, engage in prohibited conduct, or pose a risk to other users' safety.

Deactivation by User: You may deactivate your account at any time through your account settings.

Pending Payouts: Upon termination, any pending payouts will be processed according to our standard payout timeline (3–5 business days via Stripe).

These Terms & Conditions are governed by the laws of New South Wales, Australia. You irrevocably submit to the exclusive jurisdiction of the courts of New South Wales.
